Terms of Service

Please read these terms carefully before using the Diderot AI platform. By accessing or using our services, you agree to be bound by these terms.

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and Diderot AI, owned and operated by Trey Beathard ("Diderot AI," "we," "us," or "our"), governing your access to and use of the Diderot AI platform, website located at https://diderotai.com, application programming interfaces ("API"), and all related services (collectively, the "Service").

By creating an account, placing an order, accessing the API, or otherwise using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

If you do not agree with any provision of these Terms, you must not access or use the Service.

2. Description of Service

Diderot AI operates a patent-pending, AI-powered adversarial debate platform that produces verified intelligence reports. The Service works as follows:

• Debate Orders. Customers submit questions, hypotheses, or topics through the website or API. Each submission initiates a structured, multi-agent adversarial debate among independent AI systems.
• Evidence Acquisition. The platform autonomously acquires, verifies, and cryptographically seals evidence from scholarly databases, public records, and customer-uploaded documents.
• Verified Reports. Upon completion, the platform delivers a verified intelligence report as a PDF document via email, summarizing findings, evidence quality, consensus levels, and identified knowledge gaps.

3. Accounts and Eligibility

To use the Service, you must be at least 18 years of age and capable of forming a binding contract. You agree to provide accurate, current, and complete information when creating an account and to keep your account credentials secure. You are responsible for all activity that occurs under your account.

We reserve the right to suspend or terminate accounts that violate these Terms, contain false information, or are used for any unlawful purpose.

4. Intellectual Property

4.1 Customer Content

You retain all ownership rights in the questions, prompts, hypotheses, documents, and other materials you submit to the Service ("Customer Content"). By submitting Customer Content, you grant Diderot AI a limited, non-exclusive, worldwide license to process, analyze, and incorporate your content solely for the purpose of fulfilling your debate orders and delivering reports.

4.2 Diderot AI Property

The Diderot AI platform, including but not limited to its adversarial debate methodology, proprietary verification system, evidence assessment methodology, software, website design, trademarks, and all associated intellectual property, is and remains the sole property of Diderot AI. Our technology is patent pending. No rights are granted to you except as expressly set forth in these Terms.

4.3 Reports

You may use the reports generated by the Service for your internal business purposes. You may not resell, redistribute, or sublicense reports without prior written consent from Diderot AI. The underlying methodology and proprietary technology used to produce the reports remain the exclusive property of Diderot AI.

5. Customer Data and Uploads

Customers may upload documents, datasets, and other files to serve as evidence inputs for debate proceedings. By uploading content, you represent and warrant that:

• You own the uploaded materials or have the right to use them for this purpose.
• The materials do not infringe upon the intellectual property rights or privacy rights of any third party.
• The materials do not contain malware, viruses, or other harmful code.

Uploaded documents become part of the sealed evidence base for your specific debate and are processed in accordance with our Privacy Policy. We do not use your uploaded documents to train AI models or share them with other customers.

6. HIPAA Compliance Tier

Diderot AI offers a HIPAA-compliant tier for customers in the healthcare industry or those handling Protected Health Information ("PHI"). This tier operates on SOC 2 Type II certified infrastructure with additional safeguards including:

• Encryption of PHI at rest and in transit.
• Access controls and audit logging.
• Business Associate Agreements ("BAA") available upon request.
• Dedicated, isolated processing environments.

If you intend to submit PHI through the Service, you must enroll in the HIPAA-compliant tier and execute a BAA with Diderot AI prior to uploading any PHI. Submitting PHI outside of the HIPAA-compliant tier constitutes a violation of these Terms, and Diderot AI shall bear no responsibility for any resulting breach or non-compliance.

7. Payment Terms

Certain features of the Service require payment. Fees are displayed at the time of order and are denominated in U.S. dollars unless otherwise stated.

• Payment Processing. Payments are processed through Stripe, Inc. By making a payment, you agree to Stripe's terms and conditions in addition to these Terms. Diderot AI does not store your full payment card details on its own servers.
• Billing. You will be charged at the time you place a debate order or at the beginning of your subscription period, as applicable. All fees are non-refundable unless otherwise specified or required by law.
• Taxes. You are responsible for any applicable taxes, duties, or governmental fees associated with your purchase. We will collect taxes where required by law.
• Failed Payments. If a payment fails, we may suspend your access to the Service until the outstanding balance is resolved.
• Price Changes. We reserve the right to change our pricing at any time. Price changes will not affect orders already placed or active subscription periods.

8. Prohibited Uses

You agree not to use the Service to:

• Generate content that is unlawful, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable.
• Submit false or misleading evidence with the intent to manipulate debate outcomes.
• Reverse-engineer, decompile, or attempt to extract the source code or algorithms of the platform.
• Circumvent security measures, rate limits, or access controls.
• Resell, sublicense, or commercially exploit the Service or its outputs without authorization.
• Use the Service in any manner that could damage, disable, or impair our infrastructure.
• Violate any applicable law or regulation, including export control laws.

9. Disclaimer of Warranties

To the maximum extent permitted by applicable law, Diderot AI expressly disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, accuracy, completeness, reliability, and non-infringement.

Without limiting the foregoing, Diderot AI does not warrant that:

• The Service will be uninterrupted, timely, secure, or error-free.
• The results, reports, or intelligence produced by the Service will be accurate, complete, or reliable.
• The evidence acquired or cited in reports is free of error, bias, or omission.
• The Service will meet your specific requirements or expectations.

AI-generated output, including verified intelligence reports, may contain errors, omissions, or inaccuracies despite our multi-agent verification process. You assume all risk associated with your use of and reliance on the Service and its outputs.

10. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Diderot AI, its owner, officers, employees, agents, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business, or goodwill, arising out of or related to your use of or inability to use the Service, regardless of the theory of liability (contract, tort, strict liability, or otherwise), even if Diderot AI has been advised of the possibility of such damages.

In no event shall the total aggregate liability of Diderot AI exceed the greater of (a) the amount you paid to Diderot AI in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars ($100.00).

This limitation of liability applies to all claims, whether based on warranty, contract, tort, or any other legal theory, and whether or not Diderot AI has been informed of the possibility of such damage.

11. Indemnification

You agree to indemnify, defend, and hold harmless Diderot AI, its owner, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of or reliance on the Service or any reports generated by it.
• Your violation of these Terms.
• Your violation of any applicable law or regulation.
• Any Customer Content you submit, including any claim that your content infringes the rights of a third party.
• Any decision made or action taken based on the outputs of the Service.

12. Termination

You may stop using the Service and close your account at any time by contacting us at hello@diderotai.com.

We may suspend or terminate your access to the Service at any time, with or without notice, for any reason, including but not limited to a violation of these Terms. Upon termination:

• Your right to use the Service ceases immediately.
• We may delete your account data in accordance with our Privacy Policy and applicable data retention requirements.
• Any outstanding payment obligations survive termination.
• Provisions of these Terms that by their nature should survive termination (including intellectual property, limitation of liability, indemnification, and dispute resolution) shall survive.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, United States of America, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in Texas, and you consent to the personal jurisdiction of such courts.

14. Dispute Resolution

Before initiating any formal legal proceeding, you agree to first attempt to resolve any dispute informally by contacting us at hello@diderotai.com. We will attempt to resolve the dispute through good-faith negotiation within thirty (30) days.

If the dispute cannot be resolved informally, you agree that any claim or controversy shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules. The arbitration shall take place in Texas. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

You agree that any arbitration shall be conducted on an individual basis and not as a class action or representative proceeding. You waive any right to participate in a class action lawsuit or class-wide arbitration.

15. Changes to These Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will update the "Last updated" date at the top of this page and, where appropriate, notify you by email or through a notice on our website.

Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree with the updated Terms, you must stop using the Service.

16. Miscellaneous

• Entire Agreement. These Terms, together with the Privacy Policy and any applicable BAA or order form, constitute the entire agreement between you and Diderot AI regarding the Service.
• Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
• Waiver. The failure of Diderot AI to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
• Assignment. You may not assign these Terms or your rights under them without our prior written consent. We may assign these Terms freely.
• Force Majeure. Diderot AI shall not be liable for any failure to perform due to causes beyond its reasonable control, including natural disasters, war, terrorism, labor disputes, government actions, or internet or infrastructure failures.
